Do you need a physical office in the Bahamas?

Published 15 October 2026 · 3 min read

Most Bahamas companies do not need a physical office. Every company must have a registered office through a licensed registered agent, and many add a virtual office for a business address, mail and phone; a physical office is needed mainly when the company falls under the economic substance rules, employs local staff or meets clients in person.

Three different things called an “office”

Registered office Virtual office Physical office
What it is The company’s official legal address, provided by its registered agent A business address with services such as mail handling, a phone line and desk booking Premises the company rents or owns
Required? Yes, for every company No Only in some cases (below)
What it gives you Legal compliance and a place for official notices A professional presence for clients, banks and partners Space for staff, meetings and day-to-day operations

When a physical office is required

Under the Commercial Entities (Substance Requirements) Act, a company carrying on a relevant activity must show genuine activity in The Bahamas. Relevant activities include:

  • Banking, insurance and fund management
  • Financing and leasing
  • Headquartering and distribution or service centres
  • Shipping
  • Holding intellectual property
  • Holding companies with subsidiaries in these areas

These companies need adequate premises, qualified staff and local spending, and their board must meet in The Bahamas with enough directors present. Pure equity holding companies face lighter rules, but still need adequate resources and premises.

When a virtual office is enough

For many companies, a virtual office gives everything a physical office would, without the lease:

  • A Nassau business address for your website, invoices and bank forms
  • Mail handling: collection from a local P.O. box, signing for courier deliveries, scanning to email and secure storage of originals
  • A Bahamian +1 242 number, with calls answered and messages relayed in your company’s name
  • Desk or meeting room booking for the days you are in Nassau

At Corallium, virtual office packages start at $69.99 a month for mail and a business address, plus a one-time set-up fee. All prices exclude VAT, which is added where applicable, and packages have a six-month minimum term.

When you’ll want your own premises

  • You hire staff in The Bahamas who need a place to work.
  • Clients visit you regularly.
  • Your activity falls under the substance rules and you need dedicated space.
  • You hold stock or equipment locally.

FAQ

Can my registered agent’s address be my business address? Usually not. A registered office is for legal and official purposes. Most registered agents do not handle day-to-day mail or calls, which is why companies add a virtual office.

Does a virtual office meet the substance rules? Not on its own. Companies under the substance rules need adequate premises and staff for their activity. A virtual office can still support them with mail, calls and meeting space.

Can I upgrade from a virtual office later? Yes. Many companies start with a virtual office and move into dedicated space as they grow.
